1. Scope of Services Consultant agrees to provide the following "Services" to the Company:
Conducting mock exams for PLAB 2 candidates as either a simulator or an examiner.
Initially conducting 10 free mock tests: 5 as a simulator and 5 as an examiner.
Following the completion of the training period, Consultant will conduct paid mock tests for PLAB 2 candidates.
The Company will supervise the initial free mock tests and assess Consultant’s performance during this period.
Training Period:
Consultant must conduct 10 free mock tests (5 as a simulator, 5 as an examiner).
The mock tests will be single-station and free for the candidates.
Company representatives will be present to supervise these mock tests.
The services to be performed by Consultant ("Services") are described in Appendix A to this Agreement, which appendix will also set forth (a) project schedule, milestones and/or deadlines (if any); (b) the location of performance; (c) the timing of performance; (d) compensation and (e) any other terms and conditions applicable to the Services in question. Consultant should have no expectation of performing (or being paid for) additional work beyond that described in Appendix A or beyond the term of this Agreement. The parties may agree to additional services to be provided pursuant to this Agreement, which will be described in a supplemental appendix and must be signed.
2. Compensation After the successful completion of the training period, the Consultant will be eligible to conduct paid mock tests and receive commission-based compensation:
Simulator Role: Consultant will receive 10% of the net payment after excluding any promotional offers.
Examiner Role: Consultant will receive 30% of the net payment after excluding any promotional offers.
Payments will be made within 30 days of the completion of the paid mock test.
Consultant's compensation for Services shall be as set forth in Appendix A. Consultant shall be paid only for work performed during the term of this Agreement to TuringMedSchool's satisfaction. The compensation shall not exceed the maximum expenditure set forth on Appendix A (if any), unless otherwise expressly agreed to in writing. In addition, Consultant shall be reimbursed for reasonable out-of-pocket expenses, which have been pre-approved in writing by TuringMedSchool. TuringMedSchool will pay all valid and correct invoices that include all required information within 30 days of receipt (or as otherwise set forth in Appendix A), unless TuringMedSchool has a reasonable basis for nonpayment.
